1. Introduction
These Terms govern your access to and use of our website and applications (the "Site"), as well as your rights and restrictions when using content licensed from MATEXT (the "Licensed Content"). By accessing or using the Site and/or Licensed Content, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Site or any Licensed Content.

3. Scope of Use
The Site is not intended for consumers acting in a personal capacity. If you are doing so, please leave the Site immediately. Licensed Content is made available under the terms of the Commercial License defined in Section 5.

5. Rights of Use — Commercial License
A. License Grant
MATEXT grants you the following rights for Licensed Content, subject to these Terms. Rights are perpetual, non-exclusive, and worldwide, with no limit on the number of projects or media types. For this agreement, "use" includes copying, reproducing, modifying, editing, synchronizing, performing, displaying, broadcasting, publishing, or otherwise utilizing the content. Photo credit is not required.
Permitted uses include websites, blogs, and social media; marketing campaigns and advertisements; corporate presentations and packaging; newspapers, magazines, books, films, and TV; web and mobile applications.
Commercial rights are granted only to active subscribers. If your subscription is cancelled, commercial rights are revoked immediately. You may continue to use the textures for personal, non-commercial purposes.
B. Restricted Uses
Licensed Content may not be used for unlawful purposes including pornographic, defamatory, violent, or hateful content; redistribution of standalone files outside of a project context; false authorship claims over content primarily derived from Licensed Content; products for resale such as calendars, apparel, or print-on-demand items, unless an extended license is purchased; resale of electronic templates unless an extended license is purchased; or AI training of any kind. Textures may not be used to train, develop, or improve AI models. Unauthorized use may result in legal action.
C. Authorized Users
Rights are non-transferable and non-sublicensable, except that employers or clients on whose behalf you act may use the content, and subcontractors may use content solely within the scope of your project.
D. Refunds and Cancellation
No refunds or re-credits are issued for downloaded files. Refunds may be granted at MATEXT's sole discretion in cases of technical defects reported within 7 days. Upon cancellation or refund approval, commercial rights are immediately revoked.
E. Representations and Warranties
Content as delivered does not infringe intellectual property rights when used as licensed. MATEXT does not guarantee the accuracy of metadata, keywords, or captions. You agree to indemnify MATEXT against damages arising from misuse or breach of this agreement. MATEXT is not liable for indirect, incidental, or consequential damages.
6. Intellectual Property
MATEXT is the owner or licensee of all rights in the Site and Licensed Content. All such rights are protected by copyright law. You must not alter or remove copyright notices, or use any part of the Site or Content for unauthorized commercial purposes.
7. Disclaimer
Content provided on the Site is for general information only. MATEXT gives no warranties, express or implied, as to its accuracy, completeness, or timeliness.
8. User Content
If you upload or share content via the Site, you are fully responsible for it, you grant MATEXT a perpetual, worldwide, royalty-free license to use it, and you warrant that you hold the rights to upload and share it.
9. Security and Restrictions
You must not misuse the Site by introducing malware, attempting unauthorized access, disrupting servers or networks, or scraping data via bots or crawlers. Violations may be reported to law enforcement.
10. Feedback
Any feedback or suggestions you submit are considered non-confidential and may be used by MATEXT for any purpose.
11. Governing Law and Jurisdiction
These Terms are governed by Swiss law. The courts of Berne, Switzerland have exclusive jurisdiction.
12. Google API Data Disclosure
12.1 Data Accessed
Where MATEXT products are integrated with Google services, the following limited data may be accessed: basic profile information (name, email address), file metadata when importing or exporting images or textures via Google Drive, and authentication tokens for account verification. MATEXT does not access emails, contacts, or unrelated personal content.
12.2 Data Usage
Google user data is used solely to enable specific platform features: authenticating your Google account for sign-in, importing and exporting files between MATEXT and Google Drive, and managing saved preferences linked to your Google account. MATEXT does not use Google user data for advertising, analytics, or profiling.
12.3 Data Sharing
MATEXT does not share Google user data with third parties except when required by law or legal process, or with trusted infrastructure providers (AWS, Cloudflare) for hosting and delivery under confidentiality agreements.
12.4 Data Storage and Protection
Google user data is stored using encrypted databases and transport (HTTPS/TLS). Access is restricted to authorized personnel. Security policies are regularly reviewed and internal audits conducted to ensure compliance.
12.5 Data Retention and Deletion
Google user data is retained only as long as necessary to provide the requested service or maintain your account. Deletion may be requested at any time by contacting info@matext.io. Upon deletion or account closure, all associated Google data is permanently removed within 30 days, unless retention is required by law.

3. Google API Data Disclosure

MATEXT does not share Google user data with third parties except when required by law or regulation, or with trusted infrastructure providers (AWS, Cloudflare, Vercel) operating under strict data protection agreements. All such sharing is governed by confidentiality and security obligations.
3.4 Data Storage and Protection

GDPR Compliance
Matext supports lawful processing, purpose limitation, data minimization, and access control for user data handled in the EU context.

Operational security, audit trails, and role-based access are used to protect account and billing data.
Responsible AI Guidelines
Matext services may not be used to generate or distribute unlawful, deceptive, or harmful material.
Users remain responsible for validating generated outputs before commercial or public use.
Licensed Content may not be used to train, develop, or improve AI models, as stated in the Terms of Use.
Platform access may be restricted or terminated for misuse, fraud, abuse, or attempts to bypass product controls.
Subprocessor List
Matext may rely on cloud infrastructure, identity, analytics, storage, support, and payment providers to operate the service.
The published Legal Policies name Google Analytics, Google Tag Manager, Vercel, AWS, and Cloudflare among infrastructure and analytics providers.
Each subprocessor is limited to the minimum scope necessary for the function it performs, such as authentication, file delivery, billing, or notifications.
Data Processing Addendum
Business customers that need controller-processor terms for enterprise deployments can request a DPA through support.
The DPA covers processing scope, confidentiality, subprocessors, incident response, deletion, and audit cooperation where contractually required.
Operational and regional details may vary depending on the product, hosting region, and enterprise agreement.
