MATEXT – Terms of Use & License Agreement

1. Introduction

Please read these Terms of Use carefully before using the Site or downloading licensed content.

These Terms govern:

• Your access to and use of our website and application(s) (the “Site”).
• Your rights and restrictions when using content licensed from MATEXT (the “Licensed Content”).

By accessing or using the Site and/or Licensed Content, you confirm that you accept these Terms and agree to comply with them.
If you do not agree, you must not use the Site or any Licensed Content.

3. Scope of Use

The Site is not intended for consumers.
If you are acting in a personal capacity as a consumer, please leave the Site immediately.

Licensed Content is made available under the terms of the Commercial License (see Section 5).

5. Rights of Use – Commercial License

A. License Grant

MATEXT grants you the following rights for Licensed Content, subject to these Terms:

• Perpetual: Rights to use downloaded content do not expire.
• Non-exclusive: Rights are not exclusive; MATEXT may license the same content to others.
• Worldwide: Use permitted globally.
• Unlimited: Use permitted in unlimited projects and across any media.

For this agreement, “use” includes copying, reproducing, modifying, editing, synchronizing, performing, displaying, broadcasting, publishing, or otherwise utilizing the content.

Photo Credit: Not required.

Examples of permitted uses include:

• Websites, blogs, and social media.
• Marketing campaigns and advertisements.
• Corporate presentations and packaging.
• Newspapers, magazines, books, films, and TV.
• Web and mobile applications.

⚠️ Important Note:
Commercial rights are granted only to active subscribers.
If your subscription is cancelled, commercial rights are revoked immediately.
You may continue to use the textures for personal, non-commercial projects.

B. Restricted Uses

You may not use Licensed Content for:

• Unlawful Use: Including pornographic, defamatory, violent, or hateful content.
• Standalone File Use: Sharing or redistributing files separately from your project.
• False Authorship: Claiming to be the creator of content primarily based on Licensed Content.
• Products for Resale: e.g. calendars, apparel, posters, or “print-on-demand” items, unless an extended license is purchased.
• Electronic Templates: Resale of templates (websites, brochures, etc.) unless an extended license is purchased.
• AI Training: Strictly prohibited. Textures may not be used for training, developing, or improving AI models.

Unauthorized use may result in legal action.

C. Authorized Users

Use is non-transferable and non-sublicensable, except:

• Employer or Client: If you act on behalf of your employer/client, they may use the content.
• Subcontractors: May use content only for your project. They cannot reuse it elsewhere.

D. Refunds & Cancellation

• No refunds or re-credits for downloaded files.
• Refunds may be granted only at MATEXT’s discretion in case of technical defects reported within 7 days.
• Upon cancellation or refund approval, your commercial rights are immediately revoked.

E. Representations & Warranties

• Non-Infringement Warranty: Content as delivered does not infringe IP rights, if used as licensed.
• Metadata Disclaimer: MATEXT does not guarantee accuracy of metadata, keywords, or captions.
• Indemnification: You agree to indemnify MATEXT for damages arising from misuse or breach of this agreement.
• Limitation of Liability: MATEXT is not liable for indirect, incidental, or consequential damages.

6. Intellectual Property

We are the owner or licensee of all rights in the Site and Licensed Content.
All such rights are protected by copyright law.

Restrictions:

• You must not alter or remove copyright notices.
• You must not use any part of the Site or Content for unauthorized commercial purposes.

7. Disclaimer – No Reliance on Content

The Content provided on the Site is for general information only.
MATEXT gives no warranties (express or implied) as to accuracy, completeness, or timeliness.

8. User Content

If you upload or share User Content via the Site, you agree:

• You are fully responsible for such Content.
• You grant MATEXT a perpetual, worldwide, royalty-free license to use it.
• You warrant that you have rights to upload and share such Content.

9. Security & Restrictions

You must not misuse the Site by:

• Introducing malware, attempting unauthorized access, or disrupting servers/networks.
• Copying, scraping, or extracting data via bots or crawlers.

Violations may be reported to law enforcement.

10. Feedback

Any feedback or suggestions you submit are considered non-confidential and may be used by MATEXT for any purpose.

11. Governing Law & Jurisdiction

• Governing Law: Swiss law governs these Terms.
• Jurisdiction: Courts of Berne, Switzerland have exclusive jurisdiction.

12. Google API Data Disclosure

12.1 Data Accessed

If you use MATEXT products integrated with Google services, we may access limited Google user data such as:

• Basic profile information (name, email address).
• File metadata when importing/exporting images or textures via Google Drive.
• Authentication tokens for account verification.

We do not access emails, contacts, or any unrelated personal content.

12.2 Data Usage

Google user data is used solely to enable specific platform features, including:

• Authenticating your Google account for sign-in.
• Importing or exporting files between MATEXT and Google Drive.
• Managing saved preferences linked to your Google account.

MATEXT does not use Google user data for advertising, analytics, or profiling purposes.

12.3 Data Sharing

MATEXT does not share Google user data with third parties, except:

• When required by law or legal process.
• With trusted infrastructure providers (e.g. AWS, Cloudflare) strictly for hosting or delivery of our services, under confidentiality agreements.

12.4 Data Storage & Protection

• Google user data is stored securely using encrypted databases and transport (HTTPS/TLS).
• Access to this data is restricted to authorized personnel only.
• We regularly review security policies and conduct internal audits to ensure compliance.

12.5 Data Retention & Deletion

• Google user data is retained only as long as necessary to provide the requested service or maintain your account.
• You may request deletion of your data at any time by contacting us at info@matext.io.
• Upon deletion or account closure, all associated Google data is permanently removed from our systems within a reasonable timeframe (max. 30 days), unless retention is required by law.
